Notification on merger

The management boards of ERGO Elukindlustuse Aktsiaselts (Estonian Commercial Register code 10016829), ERGO Latvija dzīvība apdrošināšanas akciju sabiedrība (Latvian Commercial Register code 40003248886) and AB “ERGO LIETUVA GYVYBĖS DRAUDIMAS” (Lithuanian Register of Legal Persons code 110707135) hereby publicize that on 15 September 2010 by resolution No. 4.1-1/60 of the management board of the Financial Supervision Authority of the Republic of Estonia AB “ERGO LIETUVA GYVYBĖS DRAUDIMAS” as the acquiring insurance undertaking was issued a merger permit to merge with ERGO Elukindlustuse Aktsiaselts. The Estonian Financial Supervision Authority noted that upon receipt of a corresponding permit from the Latvian supervision authority Latvian insurance undertaking ERGO Latvija dzīvība apdrošināšanas akciju sabiedrība as a company being acquired will also merge into AB “ERGO LIETUVA GYVYBĖS DRAUDIMAS”. The Estonian Financial Supervision Authority issued the merger permit on the following conditions:
1. AB “ERGO LIETUVA GYVYBĖS DRAUDIMAS” is to submit the merger resolution adopted by the shareholders of AB “ERGO Lietuva gyvybės draudimas” to the Financial Supervision Authority promptly after it has been adopted;
2. AB “ERGO LIETUVA GYVYBĖS DRAUDIMAS” is to complete all procedural acts related to the merger by 31 January 2011.
